GENERAL TERMS AND CONDITIONS OF SALE FOR ULTRARAY GROUP INC

Overview: All orders for products manufactured or provided by Ultraray Group Inc., (hereafter referred to as “the Company”), are governed by these terms and conditions. Price quotes from the Company are subject to modification without prior notice, are valid only if endorsed by an authorized sales representative of the Company, and expire 30 days from the date issued. Any alterations or additional terms, whether verbal or written, will not be binding unless formally agreed to in writing by an authorized Company officer.

Taxes and Regulations: The Company’s prices exclude sales, excise, or similar taxes imposed by government regulations. The purchaser will be responsible for paying any such taxes that the Company is obligated to collect.

Payment Terms: Payments are to be made in Canadian or U.S. dollars as specified. Payment terms are Net 30 days from the invoice date, unless otherwise stated in the quote, and are subject to the Company’s credit assessment. If shipments are made in parts, payments will be due proportionately. Failure to make payments as due will release the Company from any further obligation under all contracts with the purchaser. Late payments beyond the 30-day period or as otherwise specified will incur a 2% monthly finance charge (24% annually).

Order Acceptance: Orders and proposals will only be binding upon written confirmation from an authorized officer of the Company.  Additional costs for setup, extra packaging, or special/international crating are not included unless specified in the quotation.

Modification Requests: The Company will not accommodate changes to specifications unless the purchaser agrees in writing to pay an additional amount, as determined by the Company, over the original purchase price.

Order Cancellation: Given that products are made for specific uses, once an order is placed and accepted by the Company, it is non-cancelable except by mutual consent. If cancellations are accepted, reasonable charges based on expenses incurred will apply. Cancellation fees generally reflect the cost of materials and labor up to the cancellation date, with a minimum fee of 25% of the total order value.

Delivery Schedule: Delivery times are approximate and depend on current production schedules. The Company will strive to meet delivery dates but is not liable for delays or failure to deliver due to factors beyond its control, such as strikes, riots, fires, accidents, government actions, embargoes, material shortages, fuel, labor, supplies, transportation issues, or other unforeseen events. Any costs related to demurrage or storage of products before installation will be borne by the purchaser unless otherwise agreed.

Risk and Ownership: The risk for the product transfers to the purchaser upon delivery to the carrier. The Company is not liable for any damage or loss occurring after this point. Ownership of the product remains with the Company until full payment is received. Default on payment allows the Company to reclaim the product.

Product Warranty: Ultraray provides a 30 day warranty against defects in material and workmanship. Where applicable and explicitly stated in our proposal, Ultraray may provide an extended warranty for a specified period, as defined by Ultraray or the original manufacturer.  Claims must be accompanied by the return of defective products, with shipping costs prepaid by the purchaser. The purchaser is responsible for dismantling and reinstalling the product if required. Ultraray does not cover consequential damages or losses resulting from defective products or parts. Ultraray will repair or replace defective products or parts at no charge, provided that the Ultraray is notified immediately within 30 days of receipt and no unauthorized repairs have been made. Ultraray’s warranty does not cover damages from improper installation or use beyond the product’s intended purpose.

Inspection and Certification: The Company assumes no responsibility for inspections or certification fees. It is the purchaser’s responsibility to secure any necessary local approvals or certificates at their own expense. The Company’s quotation does not include additional materials, parts, or items not explicitly mentioned, nor does it cover crating, palletizing, or local taxes and permits unless specified.

Freight Terms: Freight terms and conditions will be detailed in the quotation and order confirmation. Terms include:

FOB Ultraray or FOB Origin or FOB Oakville, Ontario: Ultraray is responsible for loading the truck only. Risk and ownership pass to the customer at this point. Any damage, loss, or liability during transport is the customer’s responsibility, regardless of who arranges or pays for the freight.

FOB Destination: Ultraray remains responsible for the goods in transit until they are unloaded at the destination dock. Risk and ownership pass to the customer once the goods reach the loading dock. Ultraray handles freight claims and is liable for damages until the goods are unloaded.

ExWorks: For international shipments outside Canada and the USA, Ultraray is responsible for loading the truck only. Risk and ownership pass to the customer at this point. The customer is responsible for all freight charges, customs duties, VAT, and other related costs.

Returning Products: Ultraray will not accept returns without prior approval and a Return Authorization Number. Contact the sales department for authorization and a return number if necessary. Returns will not be credited until the merchandise is returned and deemed acceptable for resale as new. Returns may be subject to a re-stocking fee.  Items older than 30 days from the original shipping date are not accepted. Custom or specially fabricated items are final sale and cannot be returned.

Credit Balances: Credit balances issued must be utilized within one (1) year of issuance. Balances not applied or requested within this period will be forfeited or canceled, with no further liability from Ultraray.
